Terms of Use

These Terms of Use (the "Terms") govern your access to and use of any AI-powered conversational service (each, an "Agentic Commerce Channel" or "Channel") operated and published by Bazak AI Innovation Ltd., a company organized under the laws of the State of Israel ("Bazak", "we", "us", or "our") on behalf of a third-party business (a "Brand Partner"), and made available to end users through third-party platforms and other digital touchpoints, including artificial intelligence assistants and other technology services (each, a "Platform").

These Terms do not govern any Bazak product or service deployed on or within a Brand Partner's own website, application, or other property; those deployments are governed by the relevant Brand Partner's own terms and by Bazak's separate agreement with the Brand Partner.

By interacting with any Bazak Channel, you accept and agree to be bound by these Terms and the Bazak Privacy Notice referenced below. If you do not agree, you must not access or use any Channel.

1. ACCEPTANCE, ELIGIBILITY, AND PLATFORM TERMS

Acceptance by use

You accept these Terms by accessing, interacting with, or otherwise using any Channel. No separate registration or signature is required. You do not maintain an account directly with Bazak; you access the Channels through your existing account with the relevant Platform.

Use through a Platform

When you enable, activate, or otherwise use a Channel through a Platform, you are using a service provided by Bazak, and these Terms apply to that use, irrespective of the Platform through which you access the Channel.

Age requirement

You must be at least eighteen (18) years of age to access or use any Channel. The Channels surface information about products and services that are typically available only to adults. By accessing or using a Channel, you represent that you are at least eighteen (18) years of age.

Platform Terms govern your use of the Platform

Your use of any Channel takes place within and is integrated with the relevant Platform. Your overall interaction with the Platform (including the Platform's collection, processing, retention, and use of your conversations, account information, and other data at the Platform level) is governed by the Platform's own terms of service and privacy policy (the "Platform Terms"), not by these Terms or by the Bazak Privacy Notice. These Terms govern only the Bazak-controlled layer of your interaction. You shall comply with the Platform Terms applicable to your use of the relevant Platform. To the extent any provision of these Terms conflicts with a mandatory provision of the Platform Terms, the Platform Terms govern your use of the Channel on that Platform.

Brand Partner relationship

The identity of the Brand Partner on whose behalf each Channel is operated is disclosed in the Channel's description. These Terms govern your relationship with Bazak in connection with the Channels. Any transactions, reservations, purchases, fulfillment, and related services are between you and the Brand Partner and are governed by the Brand Partner's own terms and privacy policy (the "Brand Partner Terms") as further described in Section 4.

Authority

If you access or use a Channel on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include the organization.

2. THE CHANNELS

Description

The Channels are AI-powered conversational interfaces, distributed through Platforms, that enable you to explore information about a Brand Partner's products and services through natural-language conversation.

Informational only

Bazak is an informational service. Bazak provides a conversational experience that enables you to discover and explore a Brand Partner's products and services and access links to the Brand Partner. Bazak does not make reservations, accept orders, process payments, fulfill transactions, issue confirmations, or otherwise facilitate transactions between you and a Brand Partner. Any transaction you make is directly with the Brand Partner through the Brand Partner's own website, booking system, or other property, and is governed by the Brand Partner Terms.

Commercial relationship with Brand Partners

Bazak operates each Channel under a commercial agreement with the relevant Brand Partner, who compensates Bazak for the operation of the Channel, which may include commissions on bookings or other commercial arrangements. Each Channel is curated to surface the Brand Partner's products and services and is not designed to neutrally compare the Brand Partner to alternatives. The existence of this commercial relationship does not affect the prices the Brand Partner offers if you transact on its own properties, and does not constitute an endorsement or recommendation of the Brand Partner by Bazak.

AI-based service

The Channels use artificial intelligence to generate responses, recommendations, summaries, and other information returned to you (collectively, "Output"). The Channels may rely on third-party AI models, inference providers, orchestration services, and related infrastructure, which may change from time to time without notice. Where a Channel is presented under a Brand Partner's name or branding, you are interacting with an AI-based service operated by Bazak, not with a human representative of the Brand Partner.

3. DATA

Platform-level data

Your conversations, account information, and other data at the Platform level are processed by the Platform under the Platform Terms and the Platform's privacy policy. These Terms and the Bazak Privacy Notice do not govern Platform-level data.

Bazak's processing

Bazak processes the structured information made available to it by the Platform in connection with your use of the Channel solely for the purposes of: (a) operating the Channel and providing the conversational service to you; (b) complying with applicable law and lawful requests from authorities; (c) enforcing these Terms; (d) addressing security, fraud, or abuse issues; and (e) the data uses described in Sections 3.3 and 3.4. Further details regarding Bazak's processing are set out in the Bazak Privacy Notice.

No use of personal data for foundation model training; aggregated and de-identified data

Bazak does not use personal data derived from your use of a Channel to train general-purpose AI foundation models. Bazak may use aggregated and de-identified data derived from Channel use to operate, evaluate, and improve the Channels and Bazak's services, including optimizing orchestration systems, recommendation logic, system prompts, ranking and retrieval systems, analytics, safety and abuse prevention measures, and other operational components of the Channels.

Brand Partner analytics

Bazak may share aggregated and de-identified analytics about Channel use with the relevant Brand Partner for the Brand Partner's business purposes, including understanding user interests and improving the Brand Partner's products and services. Such analytics are generated and shared in a manner that does not identify individual users. The Brand Partner is generally an independent controller of data it receives from Bazak, and the Brand Partner's processing of analytics is governed by the Brand Partner's own privacy policy. Bazak's processing of personal data in connection with the Channels is described in the Bazak Privacy Notice.

4. BRAND PARTNER INFORMATION AND THIRD-PARTY TRANSACTIONS

Brand Partner-supplied information

The information surfaced by a Channel, including descriptions, pricing, rates, availability, dates, features, locations, photographs, terms and conditions, refund and cancellation policies, age and other restrictions, and similar characteristics, is supplied by, or derived from sources controlled by, the relevant Brand Partner. Such information may be inaccurate, incomplete, out of date, or otherwise unreliable. Bazak does not independently verify, audit, or warrant any Brand Partner-supplied information. Before booking, purchasing, reserving, or otherwise relying on information surfaced by a Channel, you are responsible for verifying all material information directly on the Brand Partner's website or through the Brand Partner's authorized channels.

Bazak's role; no control over Brand Partners

Bazak does not control the content, terms, or operation of Brand Partner websites, mobile applications, booking systems, or other Brand Partner properties. Bazak is not responsible for: (a) any reservation, booking, purchase, or transaction you make with or through a Brand Partner; (b) the content, terms, policies, or availability of any Brand Partner Site or any third-party site to which the Channel provides a link or reference; (c) the fulfillment, delivery, performance, quality, or non-conformity of any Brand Partner product or service; (d) any refund, return, cancellation, or dispute relating to any Brand Partner transaction; or (e) the privacy, data security, or data handling practices of any Brand Partner.

Disputes with Brand Partners

Any dispute or claim relating to a Brand Partner's products, services, transactions, fulfillment, refunds, returns, customer service, or other matter pertaining to your relationship with the Brand Partner shall be raised with and resolved exclusively between you and the Brand Partner. Bazak makes no representations, warranties, or other guarantees with respect to any Brand Partner products or services surfaced by a Channel.

Links and redirects to Brand Partner sites

A Channel may include links, buttons, or other navigation elements that direct you to the Brand Partner's website, mobile application, or other property (each, a "Brand Partner Site"). When you follow such a link or otherwise navigate to a Brand Partner Site, you leave the Channel. The Brand Partner Site is operated, controlled, and maintained by the Brand Partner, not by Bazak. From the moment you arrive at the Brand Partner Site, your interaction is governed exclusively by the Brand Partner Terms, and not by these Terms or by the Bazak Privacy Notice. Any booking, purchase, account creation, payment, or other transaction you initiate on the Brand Partner Site is solely between you and the Brand Partner.

Information you authorize Bazak to share

If a Channel feature expressly enables you to submit information for sharing with a Brand Partner (for example, to facilitate a request or inquiry on your behalf), your use of that feature constitutes your authorization for Bazak to share such information with the relevant Brand Partner. From the moment such information is shared with the Brand Partner, it is subject to the Brand Partner Terms and the Brand Partner's privacy policy, and not to these Terms or the Bazak Privacy Notice.

5. RIGHT TO USE THE CHANNELS AND ACCEPTABLE USE

Limited license

Subject to your complete and ongoing compliance with these Terms, Bazak grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Channels for your lawful personal and internal business purposes.

License restrictions

Except and solely to the extent such a restriction is impermissible under applicable law, you may not: (a) reproduce, distribute, publicly display, publicly perform, or create derivative works of the Channels; (b) attempt to modify the Channels or any of their components; (c) interfere with or circumvent any feature or security measure of the Channels; (d) frame, mirror, or otherwise incorporate any part of the Channels into any other website or application; or (e) violate any robot exclusion headers or similar mechanism employed by Bazak.

Lawful use

You shall use the Channels only for lawful purposes and in compliance with applicable law, the Platform Terms, and these Terms.

Prohibited conduct

You shall not, and shall not permit any third party to: (a) use any Channel in a manner that violates applicable law; (b) attempt to extract, reverse engineer, or otherwise discover the system prompts, configurations, orchestration logic, or other proprietary methods of any Channel; (c) use any Channel or its Output to develop, train, evaluate, benchmark, or improve any artificial intelligence service that competes with the Channels or with any Platform; (d) impersonate any person, organization, Brand Partner, Platform operator, or other entity; (e) employ automated means (including spiders, robots, crawlers, scrapers, or data mining tools) to access or extract information from any Channel without Bazak's prior written consent; (f) interfere with, disrupt, or impose an unreasonable load on the Channels or any related infrastructure; or (g) use any Channel in a manner that violates the Platform Terms applicable to your use of the Channel.

Cautions on user-submitted information

You should not submit through a Channel any sensitive personal data (including data revealing health, racial or ethnic origin, religious beliefs, sex life, or sexual orientation), payment card numbers, government-issued identification numbers, passwords, or similar credentials. The Channels are not designed to process such information. Any sensitive personal data submitted in violation of this Section is submitted at your own risk, and Bazak disclaims responsibility for any consequences arising from such submission.

Modification of the Channels

Bazak may modify, suspend, retire, or replace any Channel or any feature of any Channel at any time, with or without notice. Bazak makes no representation that any particular Channel, feature, or functionality will continue to be available.

6. INTELLECTUAL PROPERTY

Bazak's intellectual property

Bazak owns all right, title, and interest in and to the Channels and their components, including the visual interfaces, graphics, design, compilation, information, data, computer code, system prompts, configurations, orchestration logic, methods, know-how, and all derivative works thereof (other than Brand Partner trademarks and brand assets licensed to Bazak). All such elements are protected by intellectual property and other laws. Nothing in these Terms transfers any such rights to you, and Bazak reserves all rights not expressly granted in these Terms.

Brand Partner intellectual property

Trademarks, logos, brand assets, and other intellectual property of Brand Partners are owned by the relevant Brand Partner and are used by Bazak under license from the Brand Partner. Nothing in these Terms transfers any rights in Brand Partner intellectual property to you.

Output

As between you and Bazak, Bazak does not claim ownership of Output generated specifically for you through your use of a Channel. Your rights in Output are subject to the applicable Platform Terms and any third-party intellectual property rights. Output is generated by AI systems and is not unique to you; Bazak may generate similar or identical output for other users. You are solely responsible for your use of Output and for ensuring that such use complies with applicable law.

Feedback

If you provide Bazak with any suggestions, comments, ideas, or feedback regarding the Channels, you grant Bazak an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right and license to exploit such feedback in any manner and for any purpose, including to improve the Channels and create other products and services. Bazak has no obligation to provide attribution to you for any feedback.

7. TERM AND TERMINATION

Term

These Terms are effective beginning when you access or use the Channels or otherwise accept the Terms, and ending when terminated as described in Section 7.2 below.

Termination

You may stop using the Channels at any time. If you violate any provision of these Terms, these Terms automatically terminate, and you no longer have permission to access or use the Channels. In addition, Bazak may, at its sole discretion, terminate these Terms or your access to any Channel at any time for any reason or no reason, with or without notice, and without any liability arising from such termination.

Effect of termination

Upon termination, you shall immediately cease all use of the Channels. Sections 3, 4, 6, 9, 10, 11, 12, and 14 shall survive termination of these Terms.

8. PRIVACY

The Bazak Privacy Notice, available at https://bazak.ai/privacy-notice, is incorporated by reference into these Terms and describes Bazak's processing of personal data in connection with the Channels. The Bazak Privacy Notice governs only Bazak's processing of data Bazak controls. Your data at the Platform level is governed by the Platform Terms and the Platform's privacy policy.

9. INDEMNIFICATION

To the fullest extent permitted by applicable law, you are responsible for your use of the Channels, and you will defend and indemnify Bazak, its affiliates, and their respective shareholders, directors, officers, employees, consultants, and agents (together, the "Bazak Entities") from and against every claim brought by a third party, and any related liability, damage, loss, and expense (including reasonable attorneys' fees and costs), arising out of or connected with: (a) your unauthorized use or misuse of the Channels; (b) your violation of any provision of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third-party right, including any intellectual property right, publicity, confidentiality, property, or privacy right; or (d) any dispute or issue between you and any third party, including any Brand Partner, Platform operator, or other third party through which you access the Channels. Bazak reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with Bazak's defense of those claims.

10. DISCLAIMERS

As-is service; no warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CHANNELS AND ALL OUTPUT, CONTENT, AND INFORMATION PROVIDED BY OR THROUGH THE CHANNELS (REGARDLESS OF WHO GENERATES IT) ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BAZAK, ITS AFFILIATES, ITS LICENSORS, AND ITS BRAND PARTNERS DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.

No warranty of accuracy, results, or availability

BAZAK DOES NOT WARRANT THAT THE CHANNELS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY OUTPUT, CONTENT, OR INFORMATION (INCLUDING BRAND PARTNER-SUPPLIED INFORMATION) WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE CHANNELS WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULTS.

AI Output and reliance

OUTPUT IS GENERATED BY AI AND MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU SHALL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, AND OUTPUT IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. YOU ARE RESPONSIBLE FOR EVALUATING OUTPUT BEFORE ACTING ON IT.

Use at your own risk; no endorsement

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BAZAK OR THROUGH THE CHANNELS WILL CREATE ANY WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS. YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE CHANNELS IS AT YOUR OWN DISCRETION AND RISK, AND THAT BAZAK IS NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING ANY COMPUTER SYSTEM OR DEVICE USED IN CONNECTION WITH THE CHANNELS) OR ANY LOSS OF DATA RESULTING FROM YOUR USE OF THE CHANNELS. BAZAK DOES NOT CONTROL, ENDORSE, OR MAKE REPRESENTATIONS ABOUT ANY BRAND PARTNER, BRAND PARTNER PRODUCT OR SERVICE, OR ANY PLATFORM OR THIRD-PARTY THROUGH WHICH YOU MAY ACCESS A CHANNEL. THE FACT THAT BAZAK MAY RECEIVE COMPENSATION FROM A BRAND PARTNER DOES NOT CONSTITUTE A RECOMMENDATION, ENDORSEMENT, OR WARRANTY OF THAT BRAND PARTNER OR ITS PRODUCTS OR SERVICES.

Maximum extent

THE LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. BAZAK DOES NOT DISCLAIM ANY WARRANTY OR OTHER RIGHT THAT BAZAK IS PROHIBITED FROM DISCLAIMING UNDER APPLICABLE LAW.

11. LIMITATION OF LIABILITY

Exclusion of indirect damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAZAK, ITS AFFILIATES, ITS LICENSORS, OR ITS BRAND PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE CHANNELS, OR ANY OUTPUT, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT BAZAK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Aggregate cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BAZAK, ITS AFFILIATES, ITS LICENSORS, AND ITS BRAND PARTNERS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE CHANNELS, OR ANY OUTPUT, SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD 100). THIS CAP IS CUMULATIVE AND NOT PER INCIDENT. NOTHING IN THIS SECTION EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

No liability for Brand Partners or personal injury

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAZAK SHALL HAVE NO LIABILITY FOR: (A) ANY BOOKING, RESERVATION, PURCHASE, OR OTHER TRANSACTION YOU MAKE WITH OR THROUGH A BRAND PARTNER; (B) THE ACTS, OMISSIONS, ERRORS, REPRESENTATIONS, WARRANTIES, OR NEGLIGENCE OF ANY BRAND PARTNER; OR (C) ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES ARISING OR RESULTING FROM THE FOREGOING. ANY DISPUTE BETWEEN YOU AND A BRAND PARTNER IS DIRECTLY BETWEEN YOU AND THE BRAND PARTNER.

Allocation of risk; essential basis of bargain

EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS, AND THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. GOVERNING LAW AND DISPUTE RESOLUTION

Governing law

These Terms, and any dispute arising out of or relating to these Terms, the Channels, or any Output (including any non-contractual dispute), shall be governed by and construed in accordance with the substantive laws of the State of Israel, without regard to its conflict of laws principles.

Exclusive forum

The competent courts in Tel Aviv-Jaffa, Israel shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Channels, or any Output, and you and Bazak each irrevocably submit to the exclusive jurisdiction of such courts.

Class action waiver

To the maximum extent permitted by applicable law, you and Bazak each agree that any dispute shall be brought in your or its individual capacity only, and not as a plaintiff or class member in any class, collective, consolidated, or representative action.

Injunctive relief

Notwithstanding the foregoing, Bazak may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Statute of limitations

To the maximum extent permitted by applicable law, any claim arising out of or relating to these Terms, the Channels, or any Output must be commenced within two (2) years after the cause of action arises; otherwise the claim is permanently barred.

13. CHANGES TO THESE TERMS

Bazak may modify these Terms from time to time. Where Bazak makes material changes, Bazak shall update the "Last Updated" date and post a notice through the Channels, on Bazak's website, or by other appropriate means. Your continued use of any Channel after the effective date of the change constitutes your acceptance of the modified Terms. If you do not accept the modified Terms, you must cease using the Channels.

14. GENERAL

Entire agreement

These Terms, together with the Bazak Privacy Notice, constitute the entire agreement between you and Bazak regarding the Channels and supersede all prior or contemporaneous communications and agreements regarding their subject matter.

Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

No waiver

No failure or delay in exercising any right under these Terms operates as a waiver, and any waiver must be in writing to be effective.

Assignment

You may not assign or transfer these Terms without Bazak's prior written consent. Bazak may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

No third-party beneficiaries

Except for the Brand Partners' rights to rely on disclaimers and limitations expressly stated to protect them, there are no third-party beneficiaries to these Terms.

Notices

Bazak may provide notices through the Channel interface, on Bazak's website, or through the relevant Platform. Any such notice is deemed received on the date of posting or transmission. Notices to Bazak shall be sent to support@bazak.ai

Consent to electronic communications

By using the Channels, you consent to receiving electronic communications from Bazak as further described in the Bazak Privacy Notice. You agree that any notices, agreements, disclosures, or other communications that Bazak sends to you electronically will satisfy any legal communication requirements, including any requirement that those communications be in writing.

Language

These Terms are drawn up in English. In the event of any inconsistency between the English version and any translation, the English version prevails.

No agency

Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and Bazak, between Bazak and any Brand Partner, or between any Brand Partner and you.

No use where prohibited

Access to the Channels from countries, territories, or by individuals where such access is illegal is prohibited.

Headings and construction

Section headings are for convenience only and shall not affect the interpretation of these Terms. As used in these Terms, "including" means "including without limitation."
